Terms of Service

These Terms of Service (“Terms”) are between you and Handshake App Inc. (“Handshake,” “we,” or “us”). They govern access to and use of Julia and related Handshake services, including our website, workspace, voice, iMessage, and SMS (the “Services”).

By creating an account, texting Julia, calling our lines, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you use the Services on behalf of a company, you represent that you have authority to bind that company.

1. The Services

Handshake provides AI-assisted tools for small businesses, including phone reception, messaging, scheduling support, and related workspace features. Features vary by plan and may change during beta. The Services are provided on an “as is” and “as available” basis during beta.

2. Accounts and eligibility

You must provide accurate account information and keep it updated. You are responsible for activity under your account and for safeguarding access credentials and devices used to access the Services.

3. Messaging (iMessage and SMS)

3.1 iMessage / primary chat

Many customers interact with Julia over iMessage. Availability and delivery depend on Apple/iMessage and our messaging partners.

3.2 Transactional SMS program

Handshake may also send transactional SMS from platform phone numbers when you explicitly request specific information by text during a live call and verbally confirm the destination mobile number, as described in our SMS Terms. That program is not for marketing promotions or recurring messages.

3.3 Consent

By requesting a text during a live call, confirming the destination mobile number, hearing the SMS disclosures, and verbally agreeing to receive the requested information, you consent to that transactional SMS from Handshake App Inc.

3.4 Rates, frequency, STOP/HELP, and credits

Message frequency varies. Message and data rates may apply from your carrier. Handshake does not add a separate per-segment cash surcharge beyond your plan’s credit usage; your carrier may still charge for SMS. Sending or receiving SMS through Handshake may consume credits under your Handshake plan. Reply STOP to opt out of SMS; reply HELP for help. Details are in the SMS Terms.

3.5 Business-customer messaging

If you are a Handshake business customer using Julia to message your callers or customers, you are responsible for obtaining all consents and providing all notices required by applicable law (including anti-spam / telemarketing rules) for those messages. Handshake provides tools; you control your customer communications configuration.

If you connect Google or other services, you grant Handshake the access described at connect time. You may revoke access from your workspace or the third-party provider. We do not claim ownership of your content.

6. Fees

Paid features are billed as described at purchase or in your plan. Fees may be quoted in CAD or USD. Carrier SMS/MMS charges are between you and your carrier. Platform SMS may consume Handshake credits as described in your plan.

7. Disclaimers

AI outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them for business decisions. To the maximum extent permitted by law, the Services are provided without warranties of any kind, whether express or implied.

8. Limitation of liability

To the maximum extent permitted by law, Handshake is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of or related to the Services will not exceed the fees you paid to Handshake for the Services in the twelve (12) months before the claim.

9. Indemnity

You will defend and indemnify Handshake against claims arising from your content, your use of the Services, or your messaging to third parties in violation of law or these Terms (including failure to obtain required consents).

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Courts in Toronto, Ontario have exclusive jurisdiction, except where prohibited.

11. Changes

We may update these Terms by posting a revised version. Material changes will be indicated by updating the “Last updated” date. Continued use after changes become effective constitutes acceptance where permitted by law.
